Welcome to s1ntra.com (“s1ntra,” “we,” “us,” or “our”).
By accessing or using our website, tools, or services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”). If you do not agree, you must not access or use the Platform.
1. Platform Description
s1ntra provides an online platform that enables users to upload, organize, publish, and share user-generated content, including but not limited to catalogs, images, descriptions, and links to third-party websites or marketplaces.
s1ntra is a passive service provider. We do not create, verify, review, curate, endorse, authenticate, or moderate user content, except where required by applicable law or legal process.
2. Eligibility
You must be at least 13 years of age to use the Platform.
By using the Platform, you represent and warrant that:
- You meet all eligibility requirements
- You are legally capable of entering into these Terms
- If acting on behalf of an entity, you have authority to bind that entity
3. User Content
3.1 Responsibility and Assumption of Risk
You are solely and fully responsible for all content you upload, post, link to, or otherwise make available through the Platform (“User Content”).
User Content includes, without limitation:
- catalogs and listings
- images and media
- product descriptions
- external or third-party links
- marketplace links (including Taobao, Weidian, or similar services)
You assume all risks associated with your User Content. s1ntra makes no representations or guarantees regarding the accuracy, legality, safety, quality, or authenticity of any User Content.
3.2 No Endorsement or Verification
User Content is provided “as is” and “as available.”
s1ntra does not endorse, sponsor, certify, verify, or approve any User Content, users, products, or third-party services referenced on the Platform.
3.3 License Grant
By submitting User Content, you grant s1ntra a non-exclusive, worldwide, perpetual, royalty-free, sublicensable license to host, store, cache, display, reproduce, and distribute such content solely for the purposes of operating, maintaining, and improving the Platform.
You represent and warrant that you have all rights necessary to grant this license.
3.4 Prohibited Content
You may not upload, post, or link to content that:
- infringes or violates copyrights, trademarks, or other intellectual property rights
- involves counterfeit, replica, or infringing goods
- is deceptive, fraudulent, misleading, or unlawful
- violates export, consumer protection, or trade laws
- contains malware, spyware, scripts, or harmful code
- facilitates scams, phishing, or abuse
- violates the rights of any third party
We reserve the absolute right, but not the obligation, to remove or restrict content at our discretion or upon receipt of a valid legal notice.
3.5 Third-Party Links and Marketplaces
The Platform may contain links to third-party websites, services, or marketplaces.
s1ntra is not responsible or liable for:
- external products or transactions
- seller conduct
- disputes, refunds, or losses
- legality or authenticity of third-party goods
- third-party content, policies, or practices
Your interactions with third parties are solely between you and those parties.
3.6 Content Removal
We may remove or disable access to User Content at any time:
- to comply with legal obligations or court orders
- upon receipt of valid DMCA or similar notices
- for violations of these Terms
- to protect the Platform, users, or our legal interests
We have no duty to monitor or proactively review User Content.
4. Acceptable Use
You agree not to:
- violate any applicable laws or regulations
- interfere with or disrupt Platform operations
- scrape, crawl, reverse-engineer, or exploit the Platform
- bypass security or access controls
- impersonate others or misrepresent affiliations
- distribute malicious or harmful material
5. Intellectual Property
All rights in the Platform, including but not limited to:
- software and source code
- design, layout, and UI/UX
- trademarks, logos, and branding
are owned exclusively by s1ntra or its licensors.
Users retain ownership of their User Content, subject to the license granted above.
6. Suspension and Termination
We may suspend or terminate your access at any time, with or without notice, for:
- violation of these Terms
- legal or regulatory requirements
- security, operational, or risk concerns
You may discontinue use of the Platform at any time.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, s1ntra DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY
- AVAILABILITY OR UPTIME
YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
s1ntra SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
s1ntra SHALL NOT BE LIABLE FOR:
- User Content
- counterfeit or infringing materials uploaded by users
- third-party marketplace transactions
- platform outages or data loss
- misuse or unauthorized access
TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED FIFTY U.S. DOLLARS (USD $50).
9. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles.
You agree that any legal action shall be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
10. Changes to These Terms
We may modify these Terms at any time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
